This Legal Notices page sets out the disclaimers, intellectual property notices, and conditions of use that apply to the website at www.retail-north.com (the "Website") and all Products supplied by Retail North Ltd. It applies in addition to our Wholesale & Drop Ship Terms of Service, Shipping Policy, Returns Policy, and Privacy Policy.

By using the Website, registering for an account, or placing an Order, you accept and agree to be bound by these notices.

1. About Us

The Website is owned and operated by Retail North Ltd, a company incorporated in Northern Ireland under company number NI650267, whose registered office is at 54 Scarva Road, Banbridge, Northern Ireland, BT32 3AU, United Kingdom ("Retail North", "we", "us", or "our").

2. Wholesale and B2B Only

The Website and the Products supplied through it are made available to business customers only, for the purposes of wholesale purchase and onward resale. We do not sell directly to consumers. By using the Website or placing an Order, you confirm that you are acting in the course of a business, and that consumer protection legislation does not apply to your purchase from us. End-customer rights are the responsibility of the retailer (you) as the merchant of record.

3. Age Restriction

Many of the Products supplied through the Website are age-restricted and intended for adults aged 18 or over (or the legal age of majority in the destination country, whichever is higher). By using the Website and placing an Order, you confirm that you and any End Customer to whom you sell or ship the Products are of legal age in the applicable jurisdiction.

You are responsible for verifying the age of every End Customer at the point of sale and at the point of delivery, and for complying with all applicable age-verification, advertising, and marketing laws in your destination country. We supply Products to wholesale account holders on the basis that you have these controls in place.

4. Intended Use

The Products supplied are intended for lawful use only, in accordance with the manufacturer's instructions and the laws and regulations of the destination country. Many of our Products are vaporizers and accessories intended for use with legal botanicals, tobacco, or other materials permitted in the End Customer's jurisdiction. We do not supply Products for any unlawful purpose.

You are responsible for ensuring that:

  • The Products you order can be lawfully imported, marketed, sold, and used in the destination country
  • Your marketing, listings, and packaging comply with all applicable laws, including any tobacco-related, vaping-related, advertising, or labelling restrictions
  • You do not promote the use of any Product for an unlawful purpose
  • End Customer-facing listings include any health, safety, or import-cost disclaimers required by local law

We do not provide legal advice on the regulatory status of any Product in any jurisdiction. If you are unsure whether a Product can be lawfully sold or shipped to a destination, you must take your own legal advice before placing an Order.

5. No Medical or Therapeutic Claims

The Products supplied are not medical devices and are not intended to diagnose, treat, cure, or prevent any disease or medical condition. We make no medical, therapeutic, or health-related claims about any Product. You shall not market or describe any Product as a medical device, treatment, or health product, and shall not attribute any therapeutic claim to any Product in your listings, marketing, or End Customer communications. You shall indemnify us against all claims, losses, and costs arising from any such mismarketing.

6. Battery and Product Safety

Many Products contain lithium-ion batteries or other components subject to safety regulations. You are responsible for:

  • Following the manufacturer's safety, charging, storage, and disposal instructions
  • Communicating those instructions to your End Customers
  • Complying with all applicable transport, storage, and handling regulations (including ADR, IATA, and equivalent)
  • Not returning batteries or battery-containing Products without prior written authorisation from us, in accordance with our Returns Policy

We are not liable for damage, injury, or loss caused by misuse, modification, unauthorised charging, or improper storage of any Product.

7. Product Information and Availability

We take reasonable care to ensure that Product descriptions, images, specifications, and prices on the Website are accurate at the time of publication. However:

  • Product specifications may be updated by manufacturers from time to time without notice
  • Product images are illustrative and may not show the exact item received
  • Stock availability is not guaranteed and the Website Price applies at the date of despatch
  • Typographical errors, pricing errors, and stock errors may occur

If we discover a material error in pricing or availability after an Order is placed but before despatch, we will notify you and either correct the Order with your agreement, refund any payment, or cancel the Order. Acceptance of an Order on the Website does not constitute a binding contract until the Order is acknowledged or despatched, in accordance with our Wholesale & Drop Ship Terms of Service.

8. Intellectual Property

All content on the Website — including text, images, logos, graphics, layouts, photographs, product descriptions, video, audio, software, and source code — is the property of Retail North Ltd or its licensors and is protected by copyright, trademark, design, database, and other intellectual property rights under UK, EU, and international law.

You are granted a limited, non-exclusive, revocable licence to use approved Product imagery and descriptions solely for the purpose of reselling the Products to your End Customers. The licence terminates on termination of your wholesale account or these legal notices.

You may not, without our prior written consent:

  • Copy, reproduce, republish, scrape, or mirror the Website or its content
  • Use the Website or its content for any commercial purpose other than reselling Products supplied by us
  • Modify, translate, or create derivative works of any content
  • Use any automated tool (including bots, crawlers, or scrapers) to access or harvest data from the Website, except for legitimate search-engine indexing
  • Remove or alter any copyright, trademark, or proprietary notice

All other rights are reserved.

9. Trademarks

"Retail North", the Retail North logo, and any other product or service names, slogans, or designs displayed on the Website are trademarks of Retail North Ltd or its licensors. Third-party brand names, product names, and trademarks (including those of Storz & Bickel, PAX, Puffco, Dr. Dabber, Arizer, DaVinci, DynaVap, G Pen, and other manufacturers) are the property of their respective owners and are used on the Website solely to identify the Products supplied by those manufacturers. Use of any third-party trademark on the Website does not imply endorsement, sponsorship, or affiliation between Retail North and the trademark owner.

You may use approved Product imagery and brand names solely for the purpose of accurately listing Products you have purchased from us, in accordance with each manufacturer's reseller and marketing guidelines. You may not modify any logo, alter any product image in a way that misrepresents the Product, or use any trademark in a manner that could cause confusion as to the source or origin of the Products.

10. Reporting IP Infringement

If you believe that any content on the Website infringes your intellectual property rights, please email legal@retail-north.com with:

  • A description of the right you claim has been infringed
  • The specific URL or location of the allegedly infringing content
  • Your contact details and proof of ownership or authority to act
  • A statement, made in good faith, that the use of the content is not authorised by you, your agent, or the law

We will review notifications and respond as soon as reasonably practicable.

11. Third-Party Links and Content

The Website may contain links to third-party websites, manufacturers' resources, or content provided by third parties (including payment processors, carriers, manufacturer warranty pages, and informational resources). Such links are provided for convenience only. We do not control, endorse, or assume any responsibility for the content, privacy practices, or availability of any third-party site. Your use of any third-party site is at your own risk and subject to that site's terms.

12. Disclaimer of Warranties

To the fullest extent permitted by law, the Website and its content are provided "as is" and "as available" without warranty of any kind, whether express or implied. We do not warrant that the Website will be uninterrupted, error-free, secure, or free from viruses, bugs, or other harmful components. We do not warrant the accuracy, completeness, currency, or reliability of any content on the Website beyond what is expressly stated in our Wholesale & Drop Ship Terms of Service.

Save as expressly set out in our Terms of Service, all warranties, conditions, and terms (whether express or implied by statute, common law, or otherwise) are excluded to the fullest extent permitted by law.

13. Limitation of Liability

Subject to the next paragraph, our total aggregate liability arising under or in connection with your use of the Website and the supply of Products (whether in contract, tort, breach of statutory duty, or otherwise) shall be limited as set out in our Wholesale & Drop Ship Terms of Service.

Nothing on the Website or in these notices excludes or limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability which cannot lawfully be limited or excluded

To the fullest extent permitted by law, we are not liable for indirect, consequential, or special loss; loss of profit, business, goodwill, anticipated savings, or data; or any loss arising from your inability to access or use the Website.

14. Indemnity

You agree to indemnify, defend, and hold harmless Retail North Ltd, its directors, officers, employees, contractors, and agents from and against all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your breach of these Legal Notices, the Terms of Service, or any other policy on the Website
  • Your misdescription, mismarketing, or unlawful sale of any Product
  • Your breach of consumer protection, advertising, age-verification, import, or product-safety laws
  • Any claim by an End Customer relating to your sale of Products to that End Customer
  • Any unauthorised use of our intellectual property or that of any third party

15. Export Control and Sanctions

You shall not, directly or indirectly, export, re-export, sell, supply, or otherwise transfer any Product to any country, person, or entity in breach of UK, EU, US, or other applicable export control or sanctions laws. You confirm that you are not located in, or acting on behalf of any person or entity in, a sanctioned jurisdiction.

16. Changes to These Notices

We may update these Legal Notices from time to time. The current version is always posted on the Website with the effective date shown. Your continued use of the Website after the effective date constitutes acceptance of the updated notices.

17. Severability and Waiver

If any provision of these Legal Notices is held to be unenforceable, the remaining provisions shall continue in full force and effect. No waiver of any breach shall be deemed a waiver of any subsequent breach, and no failure or delay in exercising any right shall operate as a waiver of that right.

18. Governing Law and Jurisdiction

These Legal Notices and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or your use of the Website shall be governed by and construed in accordance with the laws of Northern Ireland.

The parties irrevocably agree that the courts of Northern Ireland shall have exclusive jurisdiction to settle any dispute or claim, save that we reserve the right to bring proceedings against you in any other competent jurisdiction for the purpose of recovering sums due or protecting our intellectual property.
